Terms of Service

These Terms of Service (the "Agreement") are entered into by and between Arcturus Technologies LLC, a Wyoming limited liability company doing business as Fundtel ("Company," "we," or "us"), and the entity or person accessing or using the Services ("Customer" or "you").

By accessing the services at https://fundtel.io/, you agree to be bound by these terms. If you are entering into this Agreement on behalf of a company, you represent that you have the authority to bind that entity.

1. SERVICES AND SUPPORT

1.1 Provision of Services: Subject to the terms of this Agreement, Company will use commercially reasonable efforts to provide Customer the Fundtel SaaS platform, including document parsing, bank statement scrubbing, and underwriting automation tools.

1.2 Access: As part of the registration process, Customer will identify an administrative username and password for the Fundtel account. Company reserves the right to refuse registration of, or cancel passwords it deems inappropriate.

1.3 Support: Company will provide reasonable technical support via email at [email protected] during standard business hours.

2. RESTRICTIONS AND RESPONSIBILITIES

2.1 Usage Restrictions: Customer will not, directly or indirectly: reverse engineer, decompile, or otherwise attempt to discover the source code or underlying algorithms of the Fundtel software; modify or create derivative works based on the Services; or use the Services for timesharing or service bureau purposes.

2.2 Compliance: Customer represents and warrants that they will use the Services only in compliance with all applicable laws and regulations, particularly those governing the Merchant Cash Advance (MCA) and financial services industries.

2.3 Equipment: Customer is responsible for obtaining and maintaining any equipment, servers, software, and network connectivity needed to access the Fundtel platform.

3. CONFIDENTIALITY; PROPRIETARY RIGHTS

3.1 Ownership: Company shall own and retain all right, title, and interest in and to the Services, software, and all improvements or enhancements made thereto.

3.2 Customer Data: Customer shall own all data or information submitted by Customer to the Service ("Customer Data"). Customer grants Company a non-exclusive, worldwide, royalty-free right to use, copy, and analyze Customer Data to provide and improve the Services.

3.3 Anonymized Data: Company may use aggregated and anonymized data derived from Customer's use of the platform to improve its document parsing models and underwriting algorithms.

4. PAYMENT OF FEES (USAGE-BASED MODEL)

4.1 Usage Fees: Customer shall pay Company the fees based on actual usage (e.g., per document parsed or per bank statement scrubbed) as described on the website or in a separate Order Form.

4.2 Billing in Arrears: Unlike standard subscriptions, Fundtel operates on a usage-based model. Company will invoice Customer monthly in arrears for the total volume of usage recorded during the preceding billing cycle.

4.3 Payment Terms: Fees are due within thirty (30) days of the invoice date. Unpaid amounts are subject to a finance charge of 1.5% per month on any outstanding balance.

5. TERM AND TERMINATION

5.1 Term: This Agreement shall continue until terminated by either party.

5.2 Termination: Either party may terminate this Agreement upon thirty (30) days' notice. Company may terminate or suspend access immediately if Customer breaches Section 2 (Restrictions) or fails to pay Usage Fees.

5.3 Survival: All sections of this Agreement which by their nature should survive termination will survive, including ownership, warranty disclaimers, and limitations of liability.

6. WARRANTY AND DISCLAIMER

Company provides the Services "as is" and disclaims all warranties, express or implied, including the accuracy of document parsing results and fitness for a particular underwriting purpose.

7. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Arcturus Technologies LLC shall not be liable for any indirect, incidental, or consequential damages (including loss of profits or data) arising out of the use of Fundtel, even if advised of the possibility of such damages.

8. GOVERNING LAW

This Agreement shall be governed by the laws of the State of Wyoming without regard to its conflict of laws provisions. Any disputes shall be resolved in the state or federal courts located in Wyoming.
